1. Order Acceptance
Orders are non‑cancellable once confirmed. Any cancellation requires the Seller’s prior written consent and, if approved, is subject to a 25% cancellation fee of the total order value to cover incurred costs. No cancellation is permitted for customised items or items where production has already commenced.
2. Pricing and Payment
Prices exclude all taxes, duties, charges, and fees unless expressly stated otherwise. Payment shall be made in advance (full amount before production, shipment, or delivery) unless otherwise agreed in writing by the Seller. The Seller may suspend delivery or services for any overdue payments. All invoices shall be paid in full in accordance with the Sales Order.
3. Delivery
Delivery dates are estimates only and are not guaranteed. Delivery is free for orders over HKD 3,000 (within Hong Kong, standard local delivery). For orders below HKD 3,000, delivery charges apply as quoted or per the Seller’s current rates. Risk of loss and title to the goods pass to the Customer upon delivery to the Customer’s specified delivery address in Hong Kong.
4. Validity of Quotation / Prices
Quoted prices are valid for 30 days from the date of issue, unless otherwise stated. For price‑sensitive or fast‑changing products (e.g., hard disks, memory, or other volatile commodities), quotations are valid for 7 days only. After the validity period, prices may change without notice, and the Seller reserves the right to revise or withdraw the quotation.
5. Inspection and Acceptance
The Customer shall inspect the goods promptly upon delivery. Any claim for defects, shortages, or non‑conformity must be notified to the Seller in writing within 14 days after delivery. Failure to notify within this period constitutes acceptance of the goods as conforming and waives any right to reject or claim for such issues, except for latent defects not reasonably discoverable within that time, which must be notified within a reasonable time after discovery.
6. Changes and Cancellation
The Customer may not cancel or change a confirmed Sales Order without the Seller’s prior written consent. Any approved changes may result in adjustments to price, delivery schedule, or other terms.
7. Limitation of Liability
The Seller’s total liability under this Sales Order is limited to the amount paid by the Customer for the affected goods. In no event shall the Seller be liable for any loss of profit, loss of business, or other indirect, consequential, special, or punitive damages, even if advised of the possibility of such damages.
8. Intellectual Property
All intellectual property rights in the goods, services, designs, or materials remain with the Seller or its licensors. No rights are transferred or licensed to the Customer except as expressly agreed in writing.
9. Force Majeure
The Seller is not liable for any delay or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, strikes, government actions, pandemics, or supply chain disruptions.
10. Governing Law
These Terms and the Sales Order are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the non‑exclusive jurisdiction of the Hong Kong courts.
